Terms of service

1. Acceptance of terms

These Terms of Service (“Terms”) form a binding agreement between you and LAZAR RAUL-ANDREI P.F.A., an authorised natural person registered in Romania (CUI 54741496) (“we”, “us”). By creating an account or otherwise using the GalleryCloud platform (“Service”), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Description of service

The Service lets photographers upload photos and videos, organise them into themed galleries, share them with their clients through a private link (optionally protected by a passphrase) and publish a public profile. Clients can view, favourite, comment on and — where the photographer allows it — download gallery content without creating an account.

3. Eligibility

You must be at least 18 years old and able to form a legally binding contract to create an account. If you use the Service on behalf of an organisation, you confirm you are authorised to bind that organisation to these Terms.

4. User accounts

You must provide accurate information when registering and keep it up to date. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us promptly of any unauthorised use.

5. Plans, payment & refunds

The Free plan is available at no cost within its published limits. The Pro plan is a subscription billed monthly in advance at the price shown before you subscribe. Prices include VAT where applicable. Payment is handled by Stripe; by subscribing you also accept Stripe’s terms.

The subscription renews automatically each month until you cancel. You can cancel at any time from the billing portal in your account; cancellation takes effect at the end of the current paid period and no further charges are made.

Right of withdrawal: if you are a consumer in the EU, you normally have 14 days to withdraw from a contract for digital services. By starting to use Pro immediately, you request that we begin performance during the withdrawal period. If you withdraw, you may be charged an amount proportionate to the service provided until then, and you lose the right of withdrawal once the service has been fully performed.

Once a billing period has started, payments are generally non-refundable, except where a refund is required by law or granted at our discretion (for example, a genuine technical fault on our side that prevented you from using what you paid for). To request a refund, contact us through our contact page within 14 days of the charge.

We may change plan features or pricing with reasonable prior notice; price changes apply from your next billing period after the notice.

6. Acceptable use

You agree not to:

• Upload content that is illegal, infringing, defamatory, harmful or abusive, or that violates the privacy or other rights of any person
• Upload malware, viruses or other harmful code
• Use the Service to harass, spam or impersonate others
• Attempt to circumvent storage limits, rate limits, access controls or security measures
• Use automated tools to scrape or bulk-download content without authorisation
• Resell or provide the Service to third parties except as intended (delivering your own work to your clients)

7. Your responsibilities as a photographer

When you upload photos and videos of your clients or other people, you act as the data controller for that content under the GDPR, and we act as your processor. You are responsible for:

• Having the rights and a lawful basis to upload and share the media (for example, your agreement with your client and the consent of the people photographed where required)
• Telling your clients how their photos will be shared and how long they will be kept
• Obtaining any consent needed before uploading images of children or other individuals
• Responding to requests from your clients or the people photographed to remove content

You can protect a gallery with a passphrase, require a separate key for downloads, turn downloads off or set an expiry date to limit who can access it and for how long.

8. Content ownership & licence

You retain ownership of all content you upload. You grant us a limited, non-exclusive, worldwide licence to host, store, process, resize and transmit that content solely to operate and provide the Service, including delivering it to the people you share it with. We do not claim ownership of your content and will not sell it or use it for marketing.

9. Content moderation & removal

We do not routinely monitor uploads, but we may remove content or suspend a gallery or account if we reasonably believe it breaches these Terms or applicable law, or in response to a valid legal request or rights-holder complaint. Where practical we will notify the photographer. We are not liable for comments left by clients.

10. Service availability & data loss

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation, and we may suspend it for maintenance. The Service is not a backup service — please keep your own copies of important media. Galleries are deleted automatically when their expiry date passes, after a Pro subscription ends, or after prolonged inactivity on a free account, as described in our Privacy Policy; it is your responsibility to download your content before then.

11. Disclaimer of warranties

Except as required by law, the Service is provided “as is” and “as available” without warranties of any kind, express or implied. Nothing in these Terms excludes or limits any rights you have as a consumer that cannot be excluded or limited under applicable law.

12. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, or for loss of data, profits or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim or EUR 50. These limits do not apply to liability that cannot be limited by law (such as death or personal injury caused by our negligence, fraud, or your non-excludable consumer rights).

13. Termination

You may delete your account at any time from your profile settings; this permanently removes your galleries and uploaded media and cancels any active subscription. We may suspend or terminate your account for a material or repeated breach of these Terms, giving notice where reasonably possible.

14. Governing law & dispute resolution

These Terms are governed by the laws of Romania, without prejudice to the mandatory consumer-protection rules of the country in which you live. Disputes are subject to the competent courts of Romania. Consumers may also refer a complaint to the Romanian National Authority for Consumer Protection (ANPC, anpc.ro).

15. Changes to these terms

We may update these Terms from time to time. We will post the updated version here with a new date and, for significant changes, notify registered users by email or an on-platform notice. Continued use after changes take effect constitutes acceptance.
